(1) Until the later of the end of the escrow period or the acquisition of our first property, the initial offering price for retail shares will be fixed at $9.00, plus applicable selling commissions and dealer manager fee up to 10% in the aggregate of the per share purchase price to be paid by purchasers of retail shares (which results in aggregate consideration of $9.90 per retail share). Thereafter, the per share purchase price will vary and will be equal to our NAV on each day that the New York Stock Exchange is open divided by the number of shares outstanding as of the end of business on such day after giving effect to any share purchases or redemptions effected on such day, plus applicable selling commissions and dealer manager fee up to 10% in the aggregate of the purchase price per share, which will initially be $9.00.

(2) Until the later of the end of the escrow period or the acquisition of our first property, the initial offering price for institutional shares will be fixed at $9.00. Thereafter, the per share purchase price will vary and will be equal to our NAV on each day that the New York Stock Exchange is open divided by the number of shares outstanding as of the end of business on such day after giving effect to any share purchases or redemptions effected on such day, plus applicable fees.
